We are pleased to offer you a position with TOTAL PETROLEUM NIGERIA PLC. Your start date, compensation, benefits, and other terms of employment will be as set forth below and on EXHIBIT A.
TERMS OF EMPLOYMENT
1. Position and Duties. Company shall employ you, and you agree to competently and professionally perform such duties as are customarily the responsibility of the position as set forth in the job description.
2. Outside Business Activities. During your employment with Company, you shall devote competent energies, interests, and abilities to the performance of your duties under this Agreement. During the term of this Agreement, you shall not, without Companyâ€™s prior written consent, render any services to others for compensation or engage or participate, actively or passively, in any other business activities that would interfere with the performance of your duties hereunder or compete with Companyâ€™s business.
3. Employment Classification. You shall be a contract Employee and shall be entitled to benefits as specifically outlined herein.
4. Feeding and Accommodation:
Accommodation and feeding shall be provided for all expatriates by the company.
All cuisine (Intercontinental/Continental) will also be provided by the Company through the services of the assigned hotel.Alternatively, feeding allowance is provided based on the preference or decision of the expatriate.
5. Transportation. An official vehicle shall be provided on 24-hour daily basis to all expatriate for local transportation. A round trip flight ticket to cover the span of your contract engagement will be provided and delivered to you on the completion of your relevant travel documents and immigration particulars.

5.1. Additional Services:
Recreational/Sports Facilities shall also be made available at the disposal of all expatriates with no expenses to be incurred.
Laundry and Dry Cleaning Service will also be made available to all expatriates by the companyâ€™s laundry and dry cleaning unit.
5.2. Medical/Health Service Facilities and Insurance Plan for Family:
All expatriates shall be entitled to a comprehensive health care service, which are to be administered by Medical Experts on Job Locations.
In a case of emergency situation, an expatriate will be flown to his home country or any country suitable for the best medical attention. This decision can be influenced by the findings of the companyâ€™s medical experts, unless the expatriate in question states otherwise.
After three (3) months of service all expatriates will be entitled to a Health Service Insurance Plan (HSIP) for family. The Health Service Insurance Plan is designed to cover only three (3) members of your family. The Health Service Insurance Plan (HSIP) allowance can also be paid to the expatriates at the rate of US$500.00 per family member per month (US$1,500.00 per month) which can be transferred on monthly basis without being subjected to tax.
6. Telecommunication/Internet Facilities:
There are standard Telecommunication Facilities and Internet services at the disposal of all expatriates, and same shall be accessible to all personnel (Local/Foreign) without any charge or expenses to be incurred.
Cellular Phones can be obtained by expatriates from the Local dealers/Service Providers in Nigeria, but must be used in accordance with the safety regulations on Job Locations.
7. Authorization to work. Due to the second ministerial meeting between European Union (EU) and the Economic Community of West African States (ECOWAS) on terrorism which was held in Brussels on 12 October 2001. Where regulations adopted on Immigration Reform and Control Act, you will need to present documentation demonstrating that you have authorization to work in West Africa. This documents which include work permit and visa will be obtain from the Nigerian Immigration Service in Nigerian
8. Severability. If any of the provisions of this Agreement are determined to be invalid, illegal, or unenforceable, such provisions shall be modified to the minimum extent necessary to make such provisions enforceable, and the remaining provisions shall continue in full force and effect to the extent the economic benefits conferred upon the parties by this Agreement remain substantially unimpaired.

DESIGNATION: MECHANICAL ENGINEER
SALARY: USD 26,920.00 per month (or Euros equivalent depending on home country and currency preference)
JOB DESCRIPTION: The job description have been fully stated and prescribed in the job contract engagement papers that is meant to be sent to you via courier services through the air travels limited after the procurement of your traveling papers.

JOB LOCATION: LAGOS-NIGERIA

WORK PERIODS: Mondays through Fridays, Time: 8.00am to 5.00pm with break period between 12.00noon to 1.00pm. Expatriates are entitled to a one (1) month paid home leave with allowances.

RESUME WORK DAY: 2ND March OF THE YEAR 2008

JOB PROCEEDING/REQUIREMENT:
Newly employed and recruited for West African Gas Flaring Project (WAGP) And not presently possessing a valid ECOWAS Residence and Work Permits/Identification card shall be expected to personally incur all expenses as shall be related to the processing, procurement and acquisition of their necessary permits clearance papers with the NIGERIA IMMIGRATION SERVICES and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employeeâ€™s expense report and receipts.
You shall be required to furnish us with your valid ECOWAS residence, work permits and identification card on or before the 14TH of February, 2008 as a proof of readiness to join the WAGP project team in the due time as stipulated above for your job resumption with the TOTAL in Nigeria and also to enable you receive your first monthly salary including your due entitlements/emoluments prior to your departure for services with the TOTAL in Nigeria.
However, for expatriate services employees who do not presently posses their valid Nigeria residence and Work Permits papers, they are to make contact with the address given below for directives and assistance on the acquisition and procurement of their VISA/ valid residence and work permits papers with the NIGERIA IMMIGRATION SERVICES
